欢迎使用 Flyalbum。本用户协议适用于您访问或使用 Flyalbum 网站、移动应用、PC 端软件、管理后台、照片直播、云相册、AI 修图、人脸检索、分享协作和我们提供的其他产品、服务与功能。为便于表述，以上统称为“本服务”。

请您在使用本服务前仔细阅读本协议及《Flyalbum 隐私政策》。如果您代表公司、机构、活动主办方、摄影团队或其他法律主体使用本服务，您确认您有权代表该主体接受本协议，且该主体将受本协议约束。如果您不同意本协议，请不要使用本服务。

重要提示。 本服务涉及照片、视频、人像、活动资料和云端分享。您在上传、处理、分享或公开任何内容前，应确认您拥有相应权利并已取得被拍摄者、版权人、活动主办方、客户、员工、嘉宾或其他相关人员的必要授权。

一、服务内容

Flyalbum 面向个人、摄影师、活动主办方、企业、媒体机构和其他客户提供照片直播、云相册、照片与视频上传、分享与下载、团队协作、AI 图片美化、人脸找图、参考图匹配、内容审核、相册管理、PC 端管理和相关技术支持服务。

不同地区、版本、套餐、设备系统和客户配置下的具体功能可能不同。我们可能持续改进、增加、调整、暂停或停止部分功能；对于重大变化，我们会在合理可行范围内通过官网、应用内通知、邮件或其他方式提示您。

二、服务主体与适用文件

本服务由 影像科技有限公司 提供。本协议中的“Flyalbum”“我们”“我方”或“公司”均指该服务提供方及其关联公司。关联公司指与 Flyalbum 处于共同控制、控制或被控制关系下的现有或未来实体。

本协议、《Flyalbum 隐私政策》、版权政策、社区规则、安全规范、套餐说明、订单页面、企业合同、数据处理协议及我们不时发布的产品规则共同构成您与 Flyalbum 之间的完整协议。若本协议与企业客户单独签署的书面合同存在冲突，就该企业客户的付费服务而言，以双方书面合同优先；若本协议与隐私政策关于个人信息处理的约定存在冲突，以隐私政策优先。

三、使用资格

您应年满 18 周岁，或已达到您所在地法律规定的成年年龄，方可独立使用本服务。未满 18 周岁但已达到所在地数字同意年龄的用户，应在父母或法定监护人的同意和监督下使用本服务。Flyalbum 不面向 13 周岁以下儿童提供服务。

如果您是未成年人的父母或法定监护人，并允许未成年人使用本服务，您应监督其使用行为，并对其在本服务中的行为承担责任。若活动相册涉及未成年人照片或视频，上传方和活动主办方应负责取得父母或法定监护人的必要授权。

如果您代表公司、机构、活动主办方、摄影团队或其他主体使用本服务，您声明并保证您已获得该主体的合法授权，且该主体同意受本协议约束。该主体应对其管理员、成员、摄影师、修图师、供应商和终端用户的使用行为负责。

四、账号注册与安全

您无需注册账号即可在特定权限下浏览或访问他人分享的相册；但创建相册、上传内容、使用管理后台、开通付费套餐、PC 端同步、团队协作、人脸找图、AI 功能或其他高级功能可能需要注册账号。

您应提供真实、准确、完整并及时更新的注册信息。您应妥善保管账号、密码、验证码、访问令牌、相册密码和管理后台权限，不得向无关人员共享。因您未妥善保管账号凭证、误设相册权限或向第三方泄露分享链接导致的损失，由您自行承担，但 Flyalbum 存在法定过错的除外。

如您发现账号被盗用、异常登录、未经授权访问或数据泄露风险，应立即通过 service@flyalbum.com 联系我们。我们可基于安全风控需要要求您修改密码、启用双重验证、限制账号操作或暂停可疑访问。

五、企业、团队与终端用户

企业客户、活动主办方或团队管理员可邀请成员、摄影师、修图师、客户、嘉宾或其他终端用户访问或协作管理相册。管理员可在其权限范围内查看、上传、下载、编辑、删除、导出、限制或管理团队数据和成员权限。

如果您加入某一企业、团队或客户相册，您理解并同意，管理员或客户可能控制该团队或相册中的数据和权限。管理员删除、限制或导出数据的行为由相应企业客户或活动主办方负责；Flyalbum 将根据服务协议和管理员指令提供技术支持。

企业客户和活动主办方应负责向其终端用户、参会者、嘉宾、员工、客户或其他相关人员提供必要告知，取得合法授权，并确保其使用 Flyalbum 的方式符合适用法律、行业规范、本协议和隐私政策。

六、您的内容与权利

“您的内容”是指您或您授权的人员上传、提交、创建、编辑、分享或存储在本服务中的照片、视频、文件、文字、评论、标识、活动资料、相册信息和其他素材。除本协议明确授予 Flyalbum 的有限许可外，您保留对您的内容拥有的所有权利。

您声明并保证，您对您的内容拥有合法权利，或已经从权利人、被拍摄者、活动主办方、客户、员工、嘉宾、未成年人监护人及其他相关主体处取得充分授权，使您能够上传、处理、分享、公开展示、下载、授权 Flyalbum 处理并允许其他用户按相册权限访问该内容。

您对您的内容及其后续使用承担责任。您不得上传、处理或分享侵犯他人著作权、肖像权、名誉权、隐私权、商标权、商业秘密、数据权利或其他合法权益的内容。

七、授予 Flyalbum 的有限许可

为提供、维护、保护和改进本服务，您授予 Flyalbum 及其关联公司、服务商一项全球范围内、非独占、免版税、可分许可的有限许可，使我们可以在必要范围内托管、存储、缓存、备份、复制、转码、压缩、生成缩略图、加水印、展示、分发、传输、扫描、审核、分析、处理和技术适配您的内容。

该许可仅用于以下目的：提供您选择的功能，实现照片直播、云相册、分享、协作、下载、AI 修图、人脸检索、内容安全、故障排查、客户支持、合规审计、服务优化以及履行本协议和隐私政策。除非您将内容设置为公开、另行授权或法律允许，我们不会将您的私密内容用于与提供服务无关的市场宣传或广告素材。

您删除内容或终止账号后，该许可将在商业合理期限内终止；但我们可在备份系统、审计记录、交易记录、安全记录、法律合规、争议处理或保护合法权益所必需的范围内保留有限副本。删除后保留的副本不会继续公开展示或用于新的商业推广。

八、授予其他用户的访问许可

当您通过公开相册、密码相册、私密链接、团队协作或嵌入方式分享内容时，您授权被允许访问该相册或链接的用户在相册权限范围内浏览、下载、评论、转发或使用服务原生功能访问您的内容。其他用户不得脱离本服务、超出您设置的权限或违反法律使用您的内容。

公开相册可能被搜索、转发、截图、下载或二次传播。请您谨慎设置公开范围、下载权限、密码和有效期。对于您主动公开或授权他人访问的内容，Flyalbum 无法完全控制第三方的后续传播行为。

九、人脸识别、AI 功能与图文识别授权

Flyalbum 可根据您或客户主动选择，为相册提供人脸找图、参考图匹配、AI 美颜、人像融合、证件识别、文字提取、车牌识别、物体识别等功能。此类功能可能涉及人脸照片、生物特征、证件信息、图像内容和其他敏感信息。

在使用上述功能前，您和您代表的客户应确保已经取得所有必要授权，并向相关人员提供清晰、显著的告知。告知内容应包括数据类型、处理目的、保存期限、删除方式、是否使用第三方服务商、是否跨境传输以及如何撤回同意。对于美国伊利诺伊州、得克萨斯州、华盛顿州等存在生物识别专项法规的地区，您应履行当地法律要求的书面或可验证同意、保留计划和销毁义务。

Flyalbum 仅在实现您或客户选择的具体功能所必要范围内处理相关数据。除非获得单独明确同意或数据已进行不可识别化处理并符合法律要求，我们不会将可识别的人脸特征用于训练通用人脸识别模型，也不会出售、出租或用于与本服务无关的广告定向。

如您没有取得必要授权，请勿上传相关照片、视频、证件或其他敏感资料，亦不得启用相关 AI 或识别功能。因您或客户未取得授权、未提供充分告知或违反适用法律而产生的责任，由您或相应客户承担。

十、可接受使用规则

您应合法、善意、合理地使用本服务。您不得从事以下行为，亦不得帮助、诱导或允许第三方从事以下行为：

我们有权但无义务监测、审核或调查内容和账号行为。若我们合理认为您违反本协议、法律法规、平台规则或可能损害 Flyalbum、用户、客户或公众权益，我们可以采取包括警告、限制分享、限制下载、移除内容、降低公开范围、暂停功能、冻结账号、终止服务、保留证据、通知相关客户或主管机关等措施。

十一、内容审核、举报与申诉

为保护用户和平台安全，Flyalbum 可能使用自动化系统和人工复核相结合的方式识别违法、侵权、色情、暴力、儿童性剥削、恐怖主义、恶意软件、垃圾广告和其他违反规则的内容。自动化检测可能存在误判，您可以通过客服或申诉渠道请求人工复核。

如果您发现侵权、违法或违反本协议的内容，可通过 event@ourwill.com.cn 提交举报。请提供相册链接、内容位置、权利证明、问题描述和联系方式。我们会根据适用法律、平台规则和证据情况处理。

十二、版权投诉

Flyalbum 尊重知识产权。版权权利人或其授权代理人可通过 event@ourwill.com.cn 提交版权投诉。投诉应包含权利人姓名或名称、联系方式、权属证明、被投诉内容在 Flyalbum 中的具体位置、侵权说明、诚信声明以及适用法律要求的其他信息。

我们可能将投诉材料转发给被投诉用户，以便其回应或提交反通知。若您不希望个人联系方式直接披露给被投诉用户，可委托代理人提交投诉。重复提交同一投诉通常不会加快处理进度。

十三、费用、订阅、续费与退款

部分服务可能免费提供，部分服务需要购买套餐、订阅或按量付费。具体价格、存储空间、功能范围、服务期限、地区差异、税费、续费方式和限制条件以订单页面、套餐说明或双方书面合同为准。

如果产品页面或适用法律没有另行规定，数字服务、云存储、AI 处理、付费套餐或已经交付的服务通常不支持无理由退款。若适用法律强制要求退款、取消权或冷静期，我们将按照法律要求执行。企业客户的退款、取消和续费规则以双方书面合同或订单为准。

如您未按时支付费用，我们可以暂停或限制付费功能、降低服务等级、停止新增上传、限制下载或终止服务。我们可根据产品、市场、成本、汇率、税费和业务情况调整价格；价格变更通常不影响已支付的当前服务期，除非订单或法律另有规定。

十四、软件许可与 PC 端使用

如果本服务包含可下载的移动应用、PC 端软件、插件、同步工具或其他客户端软件，在您遵守本协议的前提下，Flyalbum 授予您一项个人的、有限的、非独占的、不可转让的、不可再许可的许可，仅用于访问和使用本服务。

您不得复制、修改、改编、翻译、出租、出售、转让、分发、反向工程、反编译、拆解、绕过技术限制、提取源代码或创建衍生作品，除非适用法律禁止该限制或您已取得 Flyalbum 的书面许可。客户端软件可能自动检查和安装更新，以提升安全性、兼容性和功能体验。

本服务可能包含开源软件。开源软件受其自身许可条款约束；如开源许可与本协议存在冲突，就该开源组件而言，以相应开源许可为准。

十五、第三方服务与链接

本服务可能集成或链接第三方云服务、支付渠道、邮件短信服务、数据分析服务、AI 服务、社交媒体、浏览器、应用商店、企业系统或第三方网站。第三方服务由其自身条款和隐私政策约束。Flyalbum 不控制第三方服务的内容、可用性、安全性或数据处理行为，也不对第三方服务造成的损失负责，法律另有规定的除外。

当您或管理员主动授权第三方应用、API 或系统与 Flyalbum 对接时，您应确认该第三方具备合法权限和足够安全措施。您可在相关设置中撤销授权；撤销后可能影响部分功能。

十六、服务变更、暂停与终止

您可以随时停止使用本服务，并可通过 App 内“设置—账号与安全—删除账号”发起账号删除请求。删除账号前，请自行备份需要保留的内容。账号删除可能导致相册、团队权限、订单信息、分享链接、AI 处理结果和其他数据不可恢复。

若您严重或多次违反本协议，或我们为遵守法律、处理安全事件、防止欺诈、防止侵权、响应客户管理员指令、保护用户或第三方权益而有必要采取措施，我们可以暂停、限制或终止您的账号或服务访问。除非法律禁止、影响调查、造成安全风险或紧急情况，我们会尽量说明原因并提供申诉渠道。

本协议终止后，与知识产权、内容许可、费用结算、免责声明、责任限制、赔偿、争议解决、数据保留和法律合规有关的条款仍继续有效。

十七、免责声明

在适用法律允许的最大范围内，本服务按“现状”和“可用”状态提供。Flyalbum 不保证服务不间断、无错误、完全安全、完全符合您的特定需求，亦不保证所有内容永久保存、永不丢失或在任何地区、设备、网络、浏览器或第三方系统中均可使用。

您理解，照片直播、上传展示、下载速度、AI 处理效果、人脸匹配准确率、OCR 识别准确率、内容审核结果和 PC 端同步效果可能受网络、设备、文件大小、图片质量、光照、遮挡、第三方服务、权限设置和算法限制影响。您应根据实际业务需要进行人工确认和备份。

十八、责任限制

在适用法律允许的最大范围内，Flyalbum 及其关联公司、董事、管理人员、员工、代理人、服务商对任何间接、附带、特殊、惩罚性、后果性损害，或利润损失、收入损失、商誉损失、业务中断、数据丢失、内容损坏、替代服务费用不承担责任，无论该责任基于合同、侵权、严格责任或其他法律理论。

在适用法律允许的最大范围内，Flyalbum 对您承担的累计责任总额不超过以下二者中较高者：您在争议发生前 12 个月内就相关服务实际向 Flyalbum 支付的费用，或 500 美元。某些司法辖区不允许排除或限制特定责任，上述限制将在法律允许的最大范围内适用。

十九、赔偿

如果因您、您代表的客户、您的管理员、成员、摄影师、供应商或终端用户违反本协议、侵犯第三方权利、违反法律、未取得必要授权、上传违法或侵权内容、滥用服务或导致第三方向 Flyalbum 提出索赔，您同意在适用法律允许范围内赔偿并使 Flyalbum 及其关联公司、董事、员工、代理人和服务商免受损害，包括合理律师费、调查费、和解费用、判决金额和其他损失。

二十、协议更新

我们可能因服务变化、法律法规、Google Play 或其他应用商店政策、安全风控、业务运营或产品改进而更新本协议。重大变更会通过官网、应用内通知、邮件或其他合理方式提示您。若您不同意更新后的协议，应停止使用本服务并删除账号；您在更新生效后继续使用本服务，即表示接受更新后的协议。

二十一、适用法律与争议解决

本协议受新加坡法律管辖，但不适用其冲突法规则。因本协议或本服务产生的争议，双方应首先友好协商解决；协商不成的，除适用消费者保护法律另有强制规定外，双方同意提交新加坡有管辖权的法院专属管辖。

若您作为消费者居住在某一司法辖区，该地区强制性消费者保护法律可能赋予您不能通过本协议放弃的权利。本协议不限制您依据适用法律享有的不可放弃权利。

二十二、其他条款

如果本协议的任何条款被认定无效、违法或不可执行，该条款将在法律允许的最大范围内执行，其余条款继续有效。Flyalbum 未立即行使某项权利不构成放弃该权利。未经 Flyalbum 书面同意，您不得转让本协议项下权利义务；Flyalbum 可因并购、重组、资产转让、关联公司调整或业务运营需要转让或分包本协议项下权利义务，但不会降低您依法享有的权利。

本协议中的“包括”均指“包括但不限于”。标题仅为阅读便利，不影响条款解释。本协议及其引用文件构成您与 Flyalbum 关于本服务的完整协议，并取代此前就本服务达成的口头或书面沟通。

Welcome to Flyalbum. These Terms of Service apply to your access to or use of the Flyalbum website, mobile application, PC software, management console, photo live streaming, cloud albums, AI photo retouching, face search, sharing and collaboration, and other products, services, and features we provide. For convenience, these are collectively referred to as "the Services."

Please read these Terms and the Flyalbum Privacy Policy carefully before using the Services. If you are using the Services on behalf of a company, organization, event organizer, photography team, or other legal entity, you confirm that you have the authority to bind that entity to these Terms, and that entity will be bound by them. If you do not agree to these Terms, please do not use the Services.

Important Notice. The Services involve photos, videos, portraits, event materials, and cloud sharing. Before uploading, processing, sharing, or making any content public, you should confirm that you have the corresponding rights and have obtained the necessary authorization from the subjects, copyright holders, event organizers, clients, employees, guests, or other relevant parties.

I. Service Content

Flyalbum provides photo live streaming, cloud albums, photo and video uploading, sharing and downloading, team collaboration, AI photo enhancement, face search, reference image matching, content moderation, album management, PC management, and related technical support services to individuals, photographers, event organizers, enterprises, media organizations, and other clients.

Specific features may vary depending on the region, version, subscription plan, device system, and client configuration. We may continuously improve, add, adjust, suspend, or discontinue certain features. For significant changes, we will notify you through our website, in-app notifications, email, or other means to the extent reasonably practicable.

II. Service Provider and Applicable Documents

The Services are provided by AIVISION TECHNOLOGY LIMITED. References to "Flyalbum," "we," "us," or "the Company" in these Terms refer to this service provider and its affiliates. Affiliates refer to existing or future entities that are under common control with, controlled by, or under the control of Flyalbum.

These Terms, the Flyalbum Privacy Policy, copyright policies, community guidelines, security standards, plan descriptions, order pages, enterprise contracts, data processing agreements, and product rules we publish from time to time together constitute the entire agreement between you and Flyalbum. If these Terms conflict with a separate written contract signed with an enterprise client, the written contract shall prevail regarding the paid services of that enterprise client. If these Terms conflict with the Privacy Policy regarding the processing of personal information, the Privacy Policy shall prevail.

III. Eligibility to Use

You must be at least 18 years old or have reached the age of majority in your jurisdiction to use the Services independently. Users under 18 who have reached the digital age of consent in their jurisdiction should use the Services with the consent and supervision of a parent or legal guardian. Flyalbum does not provide services to children under the age of 13.

If you are a parent or legal guardian of a minor and allow them to use the Services, you should supervise their use and assume responsibility for their actions within the Services. If an event album involves photos or videos of minors, the uploader and event organizer are responsible for obtaining the necessary authorization from parents or legal guardians.

If you are using the Services on behalf of a company, organization, event organizer, photography team, or other entity, you represent and warrant that you have been legally authorized by that entity and that the entity agrees to be bound by these Terms. The entity shall be responsible for the actions of its administrators, members, photographers, retouchers, vendors, and end users.

IV. Account Registration and Security

You can browse or access albums shared by others under specific permissions without registering an account; however, creating albums, uploading content, using the management console, activating paid plans, PC synchronization, team collaboration, face search, AI features, or other advanced features may require account registration.

You must provide true, accurate, complete, and timely updated registration information. You should properly safeguard your account, password, verification codes, access tokens, album passwords, and management console permissions, and must not share them with unauthorized personnel. You shall bear sole responsibility for any losses caused by your failure to properly safeguard account credentials, misconfiguration of album permissions, or leakage of sharing links to third parties, except where Flyalbum is at fault under statutory provisions.

If you discover account theft, abnormal logins, unauthorized access, or risks of data breaches, you should contact us immediately at service@flyalbum.com. We may require you to change your password, enable two-factor authentication, restrict account operations, or suspend suspicious access based on security risk control needs.

V. Enterprises, Teams, and End Users

Enterprise clients, event organizers, or team administrators may invite members, photographers, retouchers, clients, guests, or other end users to access or collaboratively manage albums. Administrators may view, upload, download, edit, delete, export, restrict, or manage team data and member permissions within their authorized scope.

If you join an enterprise, team, or client album, you understand and agree that the administrator or client may control the data and permissions within that team or album. Actions taken by administrators to delete, restrict, or export data are the responsibility of the respective enterprise client or event organizer; Flyalbum will provide technical support in accordance with the service agreement and administrator instructions.

Enterprise clients and event organizers are responsible for providing necessary notices to their end users, attendees, guests, employees, clients, or other relevant personnel, obtaining lawful authorization, and ensuring their use of Flyalbum complies with applicable laws, industry standards, these Terms, and the Privacy Policy.

VI. Your Content and Rights

"Your Content" refers to photos, videos, files, text, comments, logos, event materials, album information, and other materials uploaded, submitted, created, edited, shared, or stored in the Services by you or persons authorized by you. Except for the limited license expressly granted to Flyalbum in these Terms, you retain all rights you have in Your Content.

You represent and warrant that you have lawful rights to Your Content, or have obtained sufficient authorization from copyright holders, subjects, event organizers, clients, employees, guests, guardians of minors, and other relevant parties, enabling you to upload, process, share, publicly display, download, authorize Flyalbum to process, and allow other users to access such content according to album permissions.

You are responsible for Your Content and its subsequent use. You must not upload, process, or share content that infringes upon others' copyrights, portrait rights, reputation rights, privacy rights, trademark rights, trade secrets, data rights, or other legitimate rights and interests.

VII. Limited License Granted to Flyalbum

To provide, maintain, protect, and improve the Services, you grant Flyalbum and its affiliates and service providers a worldwide, non-exclusive, royalty-free, sublicensable limited license to host, store, cache, back up, copy, transcode, compress, generate thumbnails, watermark, display, distribute, transmit, scan, review, analyze, process, and technically adapt Your Content to the extent necessary.

This license is solely for the following purposes: providing the features you select, enabling photo live streaming, cloud albums, sharing, collaboration, downloading, AI retouching, face search, content safety, troubleshooting, customer support, compliance audits, service optimization, and fulfilling these Terms and the Privacy Policy. Unless you set content to public, provide separate authorization, or it is permitted by law, we will not use your private content for marketing or advertising materials unrelated to providing the Services.

Upon your deletion of content or account termination, this license will terminate within a commercially reasonable period; however, we may retain limited copies to the extent necessary for backup systems, audit records, transaction records, security records, legal compliance, dispute resolution, or protecting legitimate rights and interests. Copies retained after deletion will not continue to be publicly displayed or used for new commercial promotions.

VIII. Access License Granted to Other Users

When you share content through public albums, password-protected albums, private links, team collaboration, or embedding, you authorize users permitted to access that album or link to browse, download, comment, forward, or use native service features to access Your Content within the album's permissions. Other users must not use Your Content outside the Services, beyond the permissions you set, or in violation of applicable laws.

Public albums may be searched, forwarded, screenshotted, downloaded, or redistributed. Please set public scope, download permissions, passwords, and expiration dates carefully. For content you voluntarily make public or authorize others to access, Flyalbum cannot fully control subsequent redistribution by third parties.

IX. Face Recognition, AI Features, and Image-Text Recognition Authorization

Flyalbum may provide features such as face search, reference image matching, AI beauty, portrait fusion, ID recognition, text extraction, license plate recognition, and object recognition for albums based on your or your client's active selection. Such features may involve facial photos, biometric data, ID information, image content, and other sensitive information.

Before using the above features, you and the clients you represent must ensure that all necessary authorizations have been obtained and that clear, prominent notices are provided to relevant personnel. Notices should include data types, processing purposes, retention periods, deletion methods, whether third-party service providers are used, whether cross-border transfers occur, and how to withdraw consent. For regions with specific biometric regulations, such as Illinois, Texas, and Washington in the United States, you must fulfill local legal obligations regarding written or verifiable consent, retention plans, and destruction.

Flyalbum processes relevant data only to the extent necessary to achieve the specific features selected by you or your client. Unless separate explicit consent is obtained or the data has been de-identified and meets legal requirements, we will not use identifiable facial features to train general face recognition models, nor will we sell, rent, or use them for advertising targeting unrelated to the Services.

If you have not obtained necessary authorization, do not upload relevant photos, videos, IDs, or other sensitive materials, nor enable related AI or recognition features. Liability arising from your or your client's failure to obtain authorization, provide sufficient notice, or comply with applicable laws shall be borne by you or the respective client.

X. Acceptable Use Rules

You should use the Services lawfully, in good faith, and reasonably. You must not engage in, nor assist, induce, or permit third parties to engage in, the following:

We have the right, but not the obligation, to monitor, review, or investigate content and account behavior. If we reasonably believe you have violated these Terms, laws, platform rules, or may harm the interests of Flyalbum, users, clients, or the public, we may take measures including warnings, restricting sharing, restricting downloads, removing content, reducing public scope, suspending features, freezing accounts, terminating services, preserving evidence, or notifying relevant clients or competent authorities.

XI. Content Moderation, Reporting, and Appeals

To protect user and platform safety, Flyalbum may use a combination of automated systems and manual review to identify illegal, infringing, pornographic, violent, child sexual exploitation, terrorist, malware, spam, and other rule-violating content. Automated detection may produce false positives; you may request manual review through customer service or appeal channels.

If you find infringing, illegal, or Terms-violating content, you may submit a report via event@ourwill.com.cn. Please provide the album link, content location, proof of rights, problem description, and contact information. We will handle it according to applicable laws, platform rules, and evidence.

XII. Copyright Complaints

Flyalbum respects intellectual property rights. Copyright holders or their authorized agents may submit copyright complaints via event@ourwill.com.cn. Complaints should include the name or title of the rights holder, contact information, proof of ownership, specific location of the complained content on Flyalbum, infringement description, good faith statement, and other information required by applicable law.

We may forward complaint materials to the complained user for response or counter-notice. If you do not wish your personal contact information to be directly disclosed to the complained user, you may appoint an agent to submit the complaint. Repeated submission of the same complaint generally does not expedite processing.

XIII. Fees, Subscriptions, Renewals, and Refunds

Some services may be provided free of charge, while others require purchasing plans, subscriptions, or pay-per-use. Specific pricing, storage space, feature scope, service duration, regional differences, taxes, renewal methods, and restrictions are subject to order pages, plan descriptions, or written contracts between both parties.

Unless otherwise specified on product pages or by applicable law, digital services, cloud storage, AI processing, paid plans, or delivered services generally do not support no-reason refunds. If applicable law mandates refunds, cancellation rights, or cooling-off periods, we will comply with legal requirements. Refund, cancellation, and renewal rules for enterprise clients are subject to written contracts or orders between both parties.

If you fail to pay fees on time, we may suspend or restrict paid features, downgrade service levels, stop new uploads, restrict downloads, or terminate services. We may adjust prices based on products, market conditions, costs, exchange rates, taxes, and business circumstances; price changes generally do not affect the current paid service period unless otherwise specified in the order or by law.

XIV. Software License and PC Use

If the Services include downloadable mobile applications, PC software, plugins, synchronization tools, or other client software, subject to your compliance with these Terms, Flyalbum grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable license solely to access and use the Services.

You must not copy, modify, adapt, translate, rent, sell, transfer, distribute, reverse engineer, decompile, disassemble, bypass technical restrictions, extract source code, or create derivative works, unless prohibited by applicable law or you have obtained written permission from Flyalbum. Client software may automatically check for and install updates to enhance security, compatibility, and functional experience.

The Services may contain open-source software. Open-source software is subject to its own license terms; if an open-source license conflicts with these Terms, the respective open-source license shall prevail for that open-source component.

XV. Third-Party Services and Links

The Services may integrate with or link to third-party cloud services, payment channels, email and SMS services, data analytics services, AI services, social media, browsers, app stores, enterprise systems, or third-party websites. Third-party services are governed by their own terms and privacy policies. Flyalbum does not control the content, availability, security, or data processing practices of third-party services and is not liable for losses caused by third-party services, except as required by law.

When you or an administrator actively authorizes third-party applications, APIs, or systems to integrate with Flyalbum, you should confirm that the third party has lawful authority and sufficient security measures. You may revoke authorization in relevant settings; revocation may affect certain features.

XVI. Service Changes, Suspension, and Termination

You may stop using the Services at any time and initiate an account deletion request via "Settings - Account & Security - Delete Account" in the App. Before deleting your account, please back up any content you wish to retain. Account deletion may result in the irreversible loss of albums, team permissions, order information, sharing links, AI processing results, and other data.

If you seriously or repeatedly violate these Terms, or if it is necessary for us to comply with laws, handle security incidents, prevent fraud, prevent infringement, respond to client administrator instructions, or protect the rights of users or third parties, we may suspend, restrict, or terminate your account or service access. Unless prohibited by law, it would impede an investigation, create security risks, or in emergencies, we will endeavor to explain the reasons and provide an appeal channel.

Upon termination of these Terms, provisions regarding intellectual property, content licenses, fee settlement, disclaimers, limitation of liability, indemnification, dispute resolution, data retention, and legal compliance shall survive.

XVII. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. Flyalbum does not guarantee uninterrupted, error-free, completely secure, or fully tailored service, nor does it guarantee permanent retention, zero loss, or availability across all regions, devices, networks, browsers, or third-party systems.

You understand that photo live streaming, upload display, download speed, AI processing effects, face matching accuracy, OCR recognition accuracy, content moderation results, and PC synchronization effects may be affected by network, devices, file size, image quality, lighting, obstructions, third-party services, permission settings, and algorithm limitations. You should perform manual confirmation and backups according to actual business needs.

XVIII. Limitation of Liability

To the maximum extent permitted by applicable law, Flyalbum and its affiliates, directors, officers, employees, agents, and service providers shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or loss of profits, revenue, goodwill, business interruption, data loss, content corruption, or cost of substitute services, regardless of whether such liability is based on contract, tort, strict liability, or other legal theories.

To the maximum extent permitted by applicable law, Flyalbum's total cumulative liability to you shall not exceed the greater of: (i) the fees you actually paid to Flyalbum for the relevant services in the 12 months preceding the dispute, or (ii) $500 USD. Some jurisdictions do not allow the exclusion or limitation of certain liabilities; the above limitations shall apply to the maximum extent permitted by law.

XIX. Indemnification

If you, your represented clients, your administrators, members, photographers, suppliers or end users breach this Agreement, infringe third-party rights, violate applicable laws, fail to obtain necessary authorizations, upload illegal or infringing content, abuse the Services, or otherwise give rise to any third-party claim against Flyalbum, you agree to indemnify and hold harmless Flyalbum, its affiliates, directors, employees, agents and service providers to the fullest extent permitted by applicable law against all losses, including reasonable attorney's fees, investigation costs, settlement amounts, judgment awards and other damages.

XX. Agreement Updates

We may update this Agreement due to service adjustments, changes in laws and regulations, policies of Google Play or other app stores, security risk control, business operations or product improvements. Material changes will be notified to you via our official website, in-app notifications, emails or other reasonable means. If you disagree with the updated Agreement, you shall cease using the Services and delete your account. Your continued use of the Services after the update takes effect shall constitute your acceptance of the revised Agreement.

XXI. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of Singapore, excluding its conflict of laws rules. Any dispute arising out of or in connection with this Agreement or the Services shall first be resolved by amicable negotiation between both parties. If negotiation fails, save as otherwise mandatorily stipulated by applicable consumer protection laws, both parties agree to submit such disputes to the exclusive jurisdiction of the competent courts in Singapore.

If you are a consumer residing in a jurisdiction whose mandatory consumer protection laws confer rights that cannot be waived under this Agreement, nothing herein shall limit such non-waivable rights you are entitled to under applicable laws.

XXII. Miscellaneous

If any provision of this Agreement is found to be invalid, unlawful or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and all remaining provisions shall remain in full force and effect. Any failure by Flyalbum to immediately exercise any right hereunder shall not constitute a waiver of such right.

You may not assign any rights or obligations under this Agreement without the prior written consent of Flyalbum. Flyalbum may assign or subcontract its rights and obligations under this Agreement in connection with mergers, reorganizations, asset transfers, affiliate restructuring or business operational needs, provided that such assignment or subcontracting shall not diminish your statutory rights.

All references to "including" in this Agreement shall mean "including without limitation". Section headings are for convenience of reference only and shall not affect the interpretation of any provision. This Agreement together with all documents referenced herein constitutes the entire agreement between you and Flyalbum with respect to the Services, and supersedes all prior oral or written communications relating to the Services.
